Autodesk announces acquisition of MaintainX, advancing its unified platform strategy in the operations domain
Autodesk has signed a definitive agreement to acquire MaintainX in an all-cash transaction valued at approximately $3.6 billion. The move is intended to strengthen its data connectivity capabilities across the full lifecycle of design, manufacturing, and operations, and to advance the development of a unified platform for operational use cases.
San Francisco, May 28, 2026 — Autodesk, Inc. (NASDAQ: ADSK) today announced that it has signed a definitive agreement to acquire MaintainX, a provider of modern maintenance and operations solutions, in an all-cash transaction valued at approximately $3.6 billion. The transaction remains subject to regulatory review and other customary closing conditions, and is expected to close later this fiscal year.
The acquisition is Autodesk’s latest step in advancing its “design, make and operate” integrated platform strategy. The company said acquiring MaintainX will strengthen its ability to connect real-world data with AI-driven insights, further improving the flow of information across design, manufacturing, and operations processes.
Strengthening its operations platform footprint
Autodesk is consolidating its operations capabilities under the unified platform Autodesk Operations Solutions (AOS). AOS currently includes capabilities such as digital twins, planning and execution, and performance analytics, with related products including Tandem, Flexsim, Fusion Operations and Factory Design Utilities.
Autodesk said Operations is a natural extension of its platform strategy. As more organizations seek to connect workflows, real-world performance, and lifecycle data to improve reliability and reduce downtime, operational use cases have become a key investment area for the company.
The company believes MaintainX’s strengths in maintenance management, field operations workflows, and prebuilt integrations will help it expand further into a broader customer base, regional markets, and adjacent use cases.
Data and scenario value brought by MaintainX
MaintainX is widely used to manage maintenance activities, asset information, inspections, work orders, and operational workflows. Autodesk noted that the platform can capture high-frequency asset conditions, maintenance history, and field performance data, which are important for building higher-value system-level AI capabilities.
Autodesk CEO Andrew Anagnost said the company is extending from design and manufacturing into operations, with the goal of enabling data and insights to flow seamlessly across the entire lifecycle. He said MaintainX will bring deeper operational expertise, contextual data, and workflow support, enhancing Autodesk’s ability to use AI to connect the digital world and the physical world.Autodesk Senior Vice President of Operations Solutions Stephen Hooper also said that operations are at the core of how organizations manage systems, assets, facilities, and workflows. Through this acquisition, Autodesk hopes to help customers move from “managing operations” to “continuously improving operations,” and prepare for the next phase of AI-driven workflows.
MaintainX’s business positioning
MaintainX co-founder and CEO Chris Turlica said the company aims to empower frontline teams that keep the physical world running. Through its collaboration with Autodesk, MaintainX hopes to accelerate that mission and help customers better connect the teams responsible for asset design and construction with the teams responsible for day-to-day operations and maintenance.
MaintainX expects its annual recurring revenue (ARR) for calendar year 2026 to exceed $135 million, with year-over-year growth expected to exceed 50%.
Transaction structure and financing arrangements
Autodesk said the transaction will be financed through a combination of cash on hand and debt financing. The company also disclosed that the deal remains subject to regulatory review and other customary closing conditions.
